Terms of Service

1. Acceptance of Terms

By accessing or using the Services, you agree to these Terms and our Privacy Policy. If you are using the Services on behalf of a company, you represent that you have authority to bind that company. If you do not agree, you may not use the Services.

2. Eligibility

You must be at least 16 years old and able to form a binding contract to use the Services. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

3. Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us promptly of any unauthorized use or security breach. socialICE is not liable for losses arising from compromised credentials.

4. Free Trial & Subscriptions

We offer a 14-day free trial with full access to selected features. No credit card is required to start a trial. Trials are limited to one per organization or person. We may adjust trial duration, features, or eligibility at our discretion.

Paid subscriptions renew automatically at the end of each billing cycle until canceled. You can cancel anytime; cancellations take effect at the end of the current paid period. Except where required by law, fees are non-refundable, and unused credits do not roll over.

5. Acceptable Use

You agree not to use the Services to:

• Violate any law, regulation, or third-party right;
• Send spam, unsolicited outreach, or content that is deceptive, harassing, defamatory, or infringing;
• Disrupt, reverse engineer, or attempt to circumvent limits, security, or licensing controls;
• Create accounts or generate content in a way that misrepresents affiliation, identity, or sponsorship; or
• Use the Services to train competing AI models or extract data for that purpose.

Violations may result in suspension or termination of your account without refund.

6. AI-Generated Content

Our AI agents generate content and suggestions based on your inputs and connected accounts. AI output may be inaccurate, incomplete, or produce results that you do not expect. You are responsible for reviewing and, where required, editing AI-generated content before publishing or sending it, and for ensuring it complies with applicable law and platform policies.

7. Intellectual Property

The Services, including our branding, software, and design, are owned by socialICE and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Services during your subscription in accordance with these Terms.

Content you create or upload remains yours. You grant socialICE the rights necessary to host, process, and display that content solely to operate the Services for you.

8. Third-Party Integrations

The Services integrate with third-party platforms that are not controlled by socialICE. You are responsible for complying with those platforms' terms when connecting accounts or posting content. socialICE is not liable for actions taken by third-party platforms, including suspension of your access to them.

9. Disclaimers

The Services are provided "as is" and "as available." To the fullest extent permitted by law, socialICE disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that results, lead growth, or uptime will meet your expectations.

10. Limitation of Liability

To the maximum extent permitted by law, socialICE and its affiliates shall not be liable for any indirect, incidental, special, consequential, or lost-profit damages arising from your use of the Services. Our total liability for any claim is limited to the amount you paid us in the 12 months preceding the claim, or $50, whichever is greater.

11. Indemnification

You agree to indemnify and hold socialICE harmless from claims arising from your content, your breach of these Terms, or your violation of any law or third-party right.

12. Termination

You may stop using the Services at any time. We may suspend or terminate your access if you breach these Terms or create risk or legal exposure for us. Upon termination, your right to use the Services ends, and we may delete your data as described in our Privacy Policy.

13. Governing Law

These Terms are governed by the laws of the jurisdiction in which socialICE Inc. is incorporated, without regard to conflict-of-law principles. You and socialICE agree to the exclusive jurisdiction of the courts located in that jurisdiction for disputes arising from the Services, except where prohibited.

14. Changes to These Terms

We may revise these Terms from time to time. The "Last updated" date reflects the most recent version. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
